Name reservation
The first step in setting up a company is to submit a request for reserving the desired name.
Articles of incorporation
The Articles of Incorporation is the legal foundation of a company. It contains information such as the identification details of the shareholder(s) and director(s), the headquarters’ address, the object of activity, the share capital or the division of shares among the shareholders.
HEADQUARTERS PROOF
This proof may consist of a lease agreement, a commodatum agreement between the owner of a property and the new company or a legal assistance agreement for the hosting of the headquarters.
AFFIDAVITS
The company’s registration file includes an affidavit of the shareholder or director regarding the fulfilment of the conditions for carrying out the activity, as well as an Ultimate Beneficial Owner (UBO) statement.
TAX REGISTRATION REQUEST
With this request we are opting for the tax regime applicable to the company, as well as the value added tax (VAT) payment regime, i.e. VAT non-paying or paying company.
PROOF OF PAYMENT OF THE LEGAL FEE
The establishment of the company will be published in the Official Monitor, for which a fee of 128 lei will be charged by the Trade Register.
